1. Introduction

Welcome to Starshine.rw ("Platform", "we", "us", or "our"). These Terms of Service ("Terms") govern your use of our digital music platform, including all related websites, mobile applications, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Accept responsibility for all activities that occur under your account

4. User Roles and Responsibilities

4.1 Artists

Artists agree to:

• Upload only original content or content they have proper rights to distribute
• Pay the required subscription fee (1st Year is FREE, then 5,000 RWF/month or 50,000 RWF/year)
• Comply with all applicable laws and regulations
• Provide accurate payment information for receiving earnings
• Accept that uploaded songs require admin approval before being available for sale

4.2 Listeners

Listeners agree to:

• Pay the required fees for purchasing and downloading music as outlined in Section 5 (Note: Live streaming full songs is entirely free!)
• Use purchased content only for personal, non-commercial purposes
• Not redistribute, resell, or modify purchased content without permission

5. Payment and Fees

All payments are processed through our secure payment gateway (XentriPay). You agree to:

• Pay all applicable fees in Rwandan Francs (RWF)
• Provide valid payment information
• Understand that all sales are final and non-refundable except as required by law

5.1 Revenue Distribution

For all song purchases and downloads on our platform, revenue is distributed as follows:

Example Calculation for 500 RWF Song Purchase:

• Gross Amount: 500 RWF
• Admin Commission (30%): 150 RWF
• Artist Share (70%): 350 RWF
• RRA Tax (3% of share): 11 RWF
• XentriPay Fee (3.5% of share): 12 RWF
• Net to Artist: 327 RWF

6. Intellectual Property

All content uploaded to our platform remains the property of the original creator. By uploading content, you grant Starshine.rw a non-exclusive, worldwide, royalty-free license to:

• Host, store, and display your content
• Stream the full song to listeners on our platform
• Distribute and sell downloads of your content through our platform

You retain all ownership rights to your original content.

7. Content Moderation

We reserve the right to:

• Review and approve all uploaded content before publication
• Remove or disable access to content that violates these Terms
• Suspend or terminate accounts that violate our policies

8. Limitation of Liability

To the maximum extent permitted by law, Starshine.rw shall not be liable for:

• Any indirect, incidental, special, consequential, or exemplary damages
• Any loss of data, revenue, or profits
• Any issues arising from third-party payment processors

9. Termination

We may terminate or suspend your account immediately, without prior notice, if you breach any provision of these Terms. Upon termination, your right to use the Services will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
